Preparation and submission of the application
The company must meet the requirements for SEZ residents and prepare a document package, including an application for resident status, an investment project brief, a financial model, and the company’s founding documents. The management company provides support at this stage, assisting in properly completing the application and preparing all necessary documentation.
Review and conclusion of the agreement
The procedure for reviewing applications for entering into agreements to conduct activities within the SEZ "Rostovskaya" of industrial-production type is regulated by Resolution No. 305 of the Government of the Rostov Region dated May 13, 2024, “On the Organization of Entrepreneurial Activity within the SEZ ‘Rostovskaya’ of Industrial-Production Type.”
Registration and commencement of operations
An individual entrepreneur or a commercial organization is recognized as a resident of the SEZ from the date the corresponding entry is made in the SEZ resident register. The federal executive authority authorized by the Government of the Russian Federation enters the registration of the entity in the SEZ resident register within five business days from the date of signing the agreement on conducting activities.

What is a special economic zone?
Special Economic Zone (SEZ) is a territory with a special legal regime established to attract investment, develop industry, and promote high-tech manufacturing. Companies registered within an SEZ receive tax, customs, and administrative benefits, as well as access to modern infrastructure.
SEZs are established in accordance with Federal Law No. 116-FZ “On Special Economic Zones in the Russian Federation.” Currently, there are 54 SEZs operating in Russia, classified by specialization:
— Industrial-production (34) — focused on the creation and development of manufacturing enterprises.
— Technology-implementation (7) — intended for research, development, and implementation of innovative technologies.
— Tourism and recreation (10) — aimed at promoting tourism and spa-resort activities.
— Port (2) — designed for logistics, cargo transportation, and storage.
SEZ “Rostovskaya” is an industrial-production special economic zone. Participation in the SEZ allows companies to significantly reduce costs on taxes, infrastructure, and operating expenses, as well as shorten the implementation timeline of investment projects, making the placement of production facilities more advantageous.

What hazard class of production facilities can be located within the SEZ?
Within SEZ “Rostovskaya,” production facilities of hazard classes I to V can be established. This means that residents can operate both low- and high-risk manufacturing activities, depending on the potential threat to the environment and human health.

How to become a resident of SEZ?
The procedure for obtaining SEZ resident status is regulated by the Federal Law “On Special Economic Zones in the Russian Federation” No. 116-FZ dated July 22, 2005.
A company planning to obtain resident status in an industrial-production SEZ must complete the following steps:
Register a new legal entity within the municipality where the SEZ is located.
Prepare an investment project brief and a financial model, as required by the federal executive authority authorized by the Government of the Russian Federation.
Submit an application for an agreement to conduct industrial-production or logistics activities.

What documents are required to obtain SEZ resident status?
- Copies of founding documents (for legal entities operating under charters approved by their founders or participants), copy of the decision on the establishment of the company adopted by the founders’ meeting (for legal entities operating under a model charter), copy of the primary identity document of a Russian citizen (for individual entrepreneurs);
- Investment project brief and financial model in the form established by the federal executive authority authorized by the Government of the Russian Federation, or an investment project brief and a notarized copy of a concession agreement where the Russian Federation, represented by the Government or an authorized federal executive body, acts as the concedent, provided that the concession agreement is implemented within the SEZ and the activities comply with SEZ regulations, or an investment project brief and a joint production agreement concluded with an SEZ resident;
- Copy of the document confirming registration in the Unified State Register of Legal Entities or the Unified State Register of Individual Entrepreneurs;
- Copy of the tax registration certificate;
- Certificate of compliance with tax obligations, including payment of taxes, fees, insurance contributions, penalties, fines, and interest as required under the Russian Federation tax legislation.
Which companies can become SEZ residents?
The Resident’s activities are governed by the Agreement on Industrial and Production Operations in the Rostov Special Economic Zone, which is concluded between the Government of the Rostov Region, the Resident, and the Managing Company NIP Service LLC.
Companies engaged in manufacturing and logistics are eligible for Resident status. Manufacturing activities encompass the production and/or processing of goods (products) and their subsequent sale. Logistics activities involve providing transportation and warehousing services. A resident of an industrial-production special economic zone is only permitted to conduct the activities stipulated in the industrial-production activity agreement.
In accordance with the legislation of the Russian Federation, legal entities registered within the municipality where the special economic zone is located and which plan to implement investment projects aligned with the SEZ’s priority development areas may obtain Resident status. The types of activities permitted are expressly specified in the agreement with the Resident (Clause 1, Article 10 of the Law).
Apart from manufacturing and logistics, a Resident may also conduct other activities, provided two conditions are met: the activity must be listed in the agreement, and the income derived from it must not exceed 10% of the Resident’s total income (Clause 4, Article 10 of the Law).
The production and processing of excisable goods within the SEZ territory is prohibited (Clause 6, Article 6 of the Law).
Where should the resident be registered?
Under the legislation of the Russian Federation, resident status may be granted to legal entities registered in Novocherkassk that do not have branches or representative offices outside the SEZ territory (clause 4, article 10 of the Law). The management company provides residents with the opportunity to register a legal entity at its office premises.
How long does it take to review an application for resident status?
After receiving the application, the executive authority of the Rostov Region must make a decision on signing the investment agreement within 15 business days.
Where can the resident conduct operations?
An SEZ resident may conduct its activities exclusively within the boundaries of the SEZ. It is not permitted to establish branches or representative offices outside the territory comprising the SEZ.
How long is the SEZ resident status valid for?
The SEZ resident status cannot exceed the lifetime of the special economic zone itself, which is 49 years from its establishment. The term of the agreement cannot exceed the operating period of the SEZ (until 2073), but in practice, the agreement is typically concluded for 9 to 12 years with the right of extension (Article 16 of the Law). This means the company can benefit from all tax incentives, customs privileges, and infrastructure advantages for the duration of the agreement. However, the resident must fulfill the terms of the agreement with the management company, including meeting the stipulated investment commitments and adhering to the approved business profile.
What is the Expert Council?
The Council on Entrepreneurship in the Rostov Industrial-Production Special Economic Zone (hereinafter referred to as the Council) is a collegial advisory body under the Government of the Rostov Region. It was established to review matters related to the conclusion and implementation of agreements for conducting activities within the Rostov Industrial-Production Special Economic Zone, as stipulated in Part 1 of Article 9 of Federal Law No. 116-FZ of July 22, 2005, “On Special Economic Zones in the Russian Federation” (hereinafter referred to as the Agreement, Special Economic Zone).

What is an investment project passport?
Order of the Ministry of Economic Development No. 189 dated April 1, 2024, approved the form of the investment project passport and established evaluation criteria and methodology
The passport is a tabular form for submitting key information about the potential resident, the investment project and its implementation site, infrastructure requirements, key project indicators, and key financial and economic metrics. The passport is completed and signed by the head of the legal entity or individual entrepreneur seeking resident status.

How is the Financial and Economic Model (FEM) evaluated?

FEM Evaluation Methodology:

Points are assigned (from 0 to 3) based on compliance/non-compliance with criteria.

The FEM is deemed compliant if the total score is 9 points, meaning all criteria are mandatory.
During FEM evaluation:

Verification of the presence of initial data, calculations, and scenarios for project implementation (with and without SEZ benefits) is conducted (0–3 points);

Consideration of arithmetic and technical errors, inconsistencies in calculations, and methodological or calculation errors in indicators (0–3 points);

Assessment of consistency between main sections and alignment with the project passport (0–3 points).
Execution of the Activity Agreement
Order of the Ministry of Economic Development No. 324 dated May 29, 2024, “On Approval of Model Forms of Agreements for Industrial-Production, Technology Innovation, Tourism-Recreation Activities and Activities in a Port SEZ”
The Activity Agreement is concluded between the resident and the Authorized Body of the Rostov Region.

When and how does a resident start benefiting from tax incentives?
A resident becomes eligible for benefits after submitting to the relevant executive authorities a certificate confirming their registration as a resident of the special economic zone.
Who controls the resident's operations?
Monitoring compliance with the terms of the SEZ resident activity agreement is the responsibility of the Government of the Rostov Region.
According to the agreement concluded between the resident, the Government of the Rostov Region, and the management company NIP Service LLC, the resident’s investment project passport and financial model are attached as integral parts of the agreement. For the entire duration of the agreement, the resident is obligated to conduct its activities in strict accordance with the agreement’s terms, as well as the submitted project passport and financial model.

Residents of the Rostov SEZ enter into agreements directly with utility supply companies, enabling them to secure the most favorable terms without intermediaries.
The management company NIP Service LLC provides comprehensive support during the agreement process, including consultation, organizing technical connection, and liaising with suppliers. However, it does not act as an intermediary, ensuring residents have direct access to resources at optimal tariffs.
